Nothing in these Terms requires a customer to waive a right that applicable law makes non-waivable.

33. CUSTOMER RESPONSIBILITY FOR MISUSE

To the extent permitted by applicable law, customers are responsible for reasonably foreseeable loss caused by their:

  • Unlawful use of a product
  • Deliberate misuse
  • Unauthorized modification
  • Operation contrary to clear manufacturer instructions
  • Bypassing of safety devices
  • Use beyond rated limits
  • Fraudulent conduct
  • Material breach of these Terms

This section does not make a consumer responsible for loss caused by a product defect, misleading information, negligence, or another matter for which CropForge or another party is legally responsible.

34. FORCE MAJEURE

CropForge will not be responsible for delay or failure caused by events outside its reasonable control, including:

  • Natural disasters
  • Severe weather
  • Fire
  • Flood
  • War
  • Terrorism
  • Civil unrest
  • Epidemics
  • Government action
  • Customs restrictions
  • Labor disruptions
  • Carrier interruptions
  • Power or network failures
  • Supplier disruptions

This section does not eliminate any obligation to provide legally required notice, cancellation options, refunds, or other remedies.

35. TERMINATION

Termination does not affect:

  • Customer rights relating to existing orders

36. GOVERNING LAW

These Terms and any transaction with CropForge are generally governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules.

However, this choice of law does not deprive a consumer of mandatory protections provided by the law that would otherwise apply in the consumer’s place of residence.

Nothing in these Terms prevents a party from bringing a claim before a court, tribunal, regulator, or consumer authority that has mandatory jurisdiction.

37. DISPUTE RESOLUTION

Before starting formal proceedings, customers are encouraged to contact CropForge and provide a reasonable opportunity to investigate and resolve the dispute.

The parties may attempt to resolve the dispute through written communication, negotiation, or mutually agreed mediation.

These Terms do not impose mandatory arbitration, waive a lawful right to bring an eligible claim in small claims court, or waive any right that cannot legally be waived.

38. SEVERABILITY

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed where necessary.

The remaining provisions will continue in effect unless the invalid provision is essential to the overall agreement and applicable law requires a different result.

39. NO WAIVER

A failure or delay by CropForge to enforce a provision does not constitute a permanent waiver of that provision or any other right.

A waiver is effective only when clearly confirmed in writing by an authorized representative.

40. ASSIGNMENT

Customers may not transfer an order or contractual right in a manner that materially increases our obligations without prior written consent, except where applicable law permits the transfer.

CropForge may assign or transfer its rights and obligations in connection with a merger, restructuring, sale of business, or transfer of store operations, provided that doing so does not unlawfully reduce customer rights.

41. ENTIRE AGREEMENT

These Terms, together with the policies and order-specific terms referenced on the website, constitute the agreement between CropForge and the customer concerning use of the website and applicable purchases.

An order-specific written agreement expressly accepted by CropForge will control over a conflicting general provision to the extent of that conflict.

42. CHANGES TO THESE TERMS

We may update these Terms by publishing a revised version on cropforge.us.

Changes will apply prospectively from the stated effective date unless applicable law requires otherwise.

Material changes will not retroactively remove accrued rights or materially alter an already accepted order without the customer’s consent where consent is legally required.

Continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms for future use, but not where affirmative consent is legally required.
